By registering or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must NOT use the Platform.

U.S. citizens are strictly prohibited from registering or using the Platform. Any U.S. citizen who circumvents this restriction is considered an alien to the U.S. under these Terms. SharedLift assumes no liability for violations of this restriction.
2.3. Account Responsibility
Users are responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their accounts.
3. Services Provided
3.1. No Investment Advice
SharedLift is a platform designed to provide information and resources, but it does not offer investment advice, financial guidance, or any form of guarantees regarding potential financial returns. The following points outline key aspects of this disclaimer:
- Informational Purposes Only:
Any opportunities, projects, or financial instruments presented through the SharedLift platform are shared solely for informational purposes. They should not be interpreted as endorsements, recommendations, or advice to engage in any specific investment activity.
- Due Diligence Required:
Users are solely responsible for conducting their own thorough research and analysis before making any investment decisions. This includes evaluating the risks, assessing the potential returns, and consulting with independent financial or legal advisors as necessary.
- Assumption of Risk:
All investment activities inherently carry risks, including the potential for partial or total loss of invested capital. By using the SharedLift platform, users acknowledge and accept full responsibility for any financial outcomes arising from their decisions. SharedLift is not liable for losses, damages, or unforeseen consequences resulting from reliance on the information provided.
- No Guarantees or Warranties.
SharedLift does not guarantee the accuracy, completeness, or timeliness of any information presented on the platform. Furthermore, no assurances are provided regarding the success or profitability of any investment opportunities explored through the platform.
By engaging with SharedLift, you acknowledge and agree to these terms, understanding that all investment activities are undertaken at your own risk.
3.2. No Guarantee of Business Continuity
SharedLift provides its services as-is and does not make any guarantees regarding their availability, reliability, or profitability. Users agree and acknowledge that the Platform and its associated services may be subject to interruptions, delays, or technical issues, and SharedLift reserves the right to modify, suspend, or discontinue any part of the Platform at any time without prior notice. This includes, but is not limited to, updates to features, temporary or permanent service disruptions, and changes to the terms of service or functionality. SharedLift will not be held liable for any losses, inconvenience, or damages arising from such changes or interruptions. By using the Platform, users accept these potential risks and agree to use the services at their own discretion and responsibility.
4. User Conduct
4.1. Prohibited Activities
Users agree to abide by the following terms and conditions while using the Platform. Specifically, users shall not:
4.1.1. Engage in Unlawful Activities: Utilize the Platform in any way that contravenes local, state, national, or international laws and regulations, including but not limited to actions that promote, enable, or conceal illegal activities such as fraud, theft, or cybercrimes. Users must also avoid actions that could harm the legal rights of others or violate regulatory requirements.
4.1.2. Provide False or Misleading Information: Submit inaccurate, incomplete, or deceptive information during the registration process or at any point while interacting with the Platform. This includes, but is not limited to, falsifying identity details, using unauthorized accounts, or deliberately providing incorrect data to manipulate Platform functions or services.
4.1.3. Exploit the Platform for Unauthorized Financial Gain: Use the Platform in a manner designed to generate financial profit through fraudulent, unethical, or unauthorized means. Examples include engaging in unauthorized advertising, soliciting others for financial gain unrelated to the Platform’s intended purpose, or conducting illegal financial transactions such as money laundering.
4.1.4. Engage in Malicious Activities: Conduct activities that compromise the security, functionality, or integrity of the Platform. This includes attempting to hack, reverse-engineer, or otherwise tamper with the Platform’s software, systems, or networks, as well as introducing malware, viruses, or harmful code that disrupts operations or jeopardizes user safety.
4.1.5. Violate Intellectual Property Rights: Copy, reproduce, distribute, or use the intellectual property hosted on the Platform without appropriate authorization. This includes using trademarks, copyrighted materials, or proprietary information in ways that infringe upon the rights of the Platform or third parties.
4.1.6. Misuse Communication Features: Use communication tools provided by the Platform to harass, threaten, or exploit others. Users are prohibited from sharing offensive, abusive, or unsolicited messages, including spam or deceptive schemes aimed at other users or external parties.
4.1.7. Bypass Platform Protections: Attempt to bypass or interfere with security features, restrictions, or policies designed to safeguard the Platform, including measures that protect user data, restrict access, or maintain equitable use of resources.
By adhering to these conditions, users ensure a safe, lawful, and productive environment for all participants on the Platform.4.2. Compliance with Laws
- Users are solely responsible for complying with all local, national, and international laws applicable to their use of the Platform.
5. Limitation of Liability
5.1 No Liability for Losses
SharedLift does not accept liability for any losses, damages, or claims that may arise directly or indirectly from the use of the Platform, including but not limited to the following:
Direct Damages: These include any immediate harm or financial loss incurred as a result of interactions facilitated by the Platform.
Indirect or Consequential Damages: Such damages include, but are not limited to, unforeseen consequences of using the Platform, such as financial disruptions, reputational harm, or emotional distress.
Incidental Losses: SharedLift disclaims liability for any unanticipated costs or damages arising incidentally, whether due to system outages, third-party actions, or disruptions caused by circumstances outside its control.
Special Damages: Losses that may occur due to unique or unusual situations stemming from Platform usage.
By agreeing to these terms, Users acknowledge that they bear full responsibility for ensuring their actions and decisions on the Platform do not result in personal or professional harm.
5.2 Waiver of Claims
By accessing and utilizing the Platform, Users voluntarily and explicitly agree to waive all current and future claims against SharedLift for any issues that may arise during or as a result of Platform use. This waiver applies, but is not limited, to the following scenarios:
Loss of Income or Opportunity: Any financial setbacks, career-related impacts, or missed professional or personal opportunities caused by Platform interactions or technical errors.
Breach of Data Privacy: While SharedLift takes reasonable measures to protect user information, Users agree not to hold the Platform accountable for data breaches, unauthorized access, or inadvertent data disclosures beyond SharedLift’s direct control.
Misuse of User-Provided Information: SharedLift cannot guarantee that information shared by Users, either voluntarily or as part of the Platform’s services, will not be misused by other parties. Users are solely responsible for managing the content they provide and understanding the associated risks.
6. User-Submitted Information
6.1. Ownership and Use
- Any information, content, or materials submitted by Users to SharedLift become the property of the Company and may be used at our sole discretion.
6.2. No Expectation of Privacy
By submitting information to SharedLift, Users acknowledge and agree that such information is not private. SharedLift may use, share, or disclose the information without restriction.
7. Intellectual Property
7.1. Ownership
All content available on the Platform, including but not limited to text, images, logos, software, audiovisual elements, and other materials, is the exclusive property of SharedLift. This content is safeguarded by applicable copyright laws, trademark laws, and other relevant intellectual property regulations. Unauthorized use, reproduction, modification, or distribution of any material found on the Platform is strictly prohibited and may result in legal action. By accessing the Platform, users agree to respect all intellectual property rights associated with the content and acknowledge that SharedLift retains full ownership and control over these assets.
7.2. Limited License
Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purposes. This means that users are permitted to use the Platform under specific conditions set forth by the terms of service, but they are not given full ownership or control over the Platform or its content. The license is intended to allow users to engage with the Platform in a way that aligns with its primary functions and objectives, ensuring that its use remains within the bounds of what is legally and ethically permitted.
Furthermore, the license granted to users is non-transferable, meaning that they cannot transfer their access rights to others, nor can they sublicense or resell the Platform. Any attempt to do so would be a violation of the terms of use, leading to potential termination of access. The non-exclusive nature of the license ensures that the provider of the Platform retains the ability to grant similar access to other users and third parties, maintaining flexibility in how the Platform is distributed and used.
This limited license does not grant users any intellectual property rights or ownership over the Platform or its associated materials. Users must respect the Platform's intellectual property and use it only in a manner that is consistent with the intended purposes outlined in the agreement. Any unauthorized or excessive use outside of these intended purposes may result in the revocation of the granted license and legal consequences.
In addition, this license is granted for a specific duration, which may be subject to the terms and conditions established by the service provider. Should any terms change, the user may be notified, and the ongoing access or usage may be modified or discontinued according to the updated agreements. Therefore, users must stay informed about any changes in the terms of service that may impact their access to the Platform.
8. Indemnification
Users agree to indemnify, defend, and hold harmless SharedLift, along with its officers, directors, employees, agents, contractors, affiliates, and representatives, from and against any and all claims, demands, actions, losses, damages, liabilities, penalties, fines, costs, expenses (including reasonable attorneys' fees), or other legal consequences arising directly or indirectly from the following:
- The Use of the Platform: Any and all activities carried out by the user, whether authorized or unauthorized, in connection with the use of the Platform, including but not limited to, any content uploaded or shared, any transactions made, or any interactions occurring between the user and other users, service providers, or third parties.
- Violations of These Terms: Any breach, violation, or non-compliance with these Terms of Service, the Privacy Policy, or any other policies or guidelines provided by SharedLift, whether such violation occurs knowingly or unknowingly, or as a result of user negligence or failure to adhere to the stated rules and regulations.
- Actions by Third Parties: Any actions or consequences arising from the user's conduct, including but not limited to, any claims, losses, or damages incurred by third parties, whether such actions are instigated by the user directly or indirectly, including any misuse of the Platform or illegal activities conducted via the Platform.
- Failure to Secure Accounts or Data: Any harm or loss resulting from a user's failure to secure their account, password, or other personal information, including any unauthorized access, disclosure, or use of such data by third parties, as well as any resulting legal or financial ramifications for SharedLift, its affiliates, or other users.
9. Termination of Use
9.1. Termination by SharedLift
SharedLift retains the authority to suspend or terminate a User's access to the Platform at its sole discretion. This decision may be made at any time and for any reason deemed appropriate by SharedLift, without the need to provide prior notice, explanation, or justification. Users are advised that access to the Platform is a privilege granted by SharedLift, subject to compliance with all applicable terms, conditions, and policies. Violations of these terms or any activity that compromises the integrity, security, or functionality of the Platform may result in immediate suspension or termination of access. SharedLift’s discretion in such matters is final, and the company is not obligated to offer warnings or opportunities for redress prior to implementing such actions.
9.2. Termination by User
Users have the option to deactivate their accounts at any time through the platform’s settings. Once an account is deactivated, all information previously submitted, including but not limited to personal data, uploaded content, and usage history, may remain in the possession of SharedLift. This information will be retained in accordance with our data retention policies and applicable laws. SharedLift reserves the right to utilize this data at its discretion, which may include purposes such as analytics, business operations, compliance with legal obligations, or other legitimate uses as outlined in our Privacy Policy and Terms of Service. It is important to note that deactivation does not equate to the permanent deletion of all submitted information unless explicitly requested and processed in accordance with applicable regulations. 10. Modifications to Terms
SharedLift may modify these Terms at any time without prior notice. Updated Terms will be posted on the Platform, and continued use of the Platform constitutes acceptance of the updated Terms.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the applicable laws and regulations of The United Kingdom and Singapore. The governing law shall encompass not only national legislation but also any relevant international treaties or agreements to which either country is a signatory. Any interpretation or enforcement of these Terms will be carried out with full respect to the legal frameworks and judicial precedents within these jurisdictions.
In the event of any dispute, controversy, or claim arising out of or in connection with these Terms, including but not limited to matters of breach, termination, or the enforcement of any provision, such matters shall fall under the exclusive jurisdiction of the competent courts in the United Kingdom. The parties involved expressly agree to submit to the jurisdiction of these courts, thereby waiving any objections to venue or the appropriateness of the forum in which such disputes may be litigated.
Furthermore, the exclusive jurisdiction of the courts in the United Kingdom shall extend to any claims involving cross-border legal issues, conflicts of law, or matters that necessitate the cooperation of both the United Kingdom and Singaporean legal systems. The parties acknowledge and accept that any legal action or proceeding arising out of or relating to these Terms shall not be brought in any other jurisdiction, unless specifically agreed otherwise in writing by all concerned parties.
In situations where legal disputes or claims are not fully resolved in the courts of the United Kingdom, the parties may consider alternative dispute resolution mechanisms, such as mediation or arbitration, as governed by the legal practices in either The United Kingdom or Singapore. However, the exclusive jurisdiction clause of the United Kingdom courts remains paramount unless an explicit waiver is obtained.
12. Miscellaneous
12.1. Entire Agreement
These Terms represent the comprehensive and binding agreement between SharedLift and all of its Users. They replace, override, and nullify any prior written or oral agreements, understandings, or communications, whether formal or informal, between SharedLift and the Users. By using the services provided by SharedLift, Users acknowledge that they have read, understood, and accepted the Terms outlined herein, which govern the relationship in its entirety. No previous agreements, whether made verbally, electronically, or in writing, shall have any legal effect once these Terms are in force. The Users and SharedLift agree that this document is the sole and exclusive understanding between the parties with respect to the use of SharedLift's services.
12.2. Severability
If any provision of these Terms is found to be unenforceable or invalid, either in whole or in part, by a court of competent jurisdiction or any other relevant authority, such unenforceability or invalidity shall not affect the enforceability or validity of the remaining provisions within these Terms. The remaining provisions, whether they are severable or not, shall continue to remain in full force and effect as if the unenforceable or invalid provision had never been included in these Terms. In the event that a provision is determined to be unenforceable, both parties agree that such provision will be modified to the minimum extent necessary to make it enforceable, while maintaining its original intent and purpose as closely as possible.
This clause ensures that even if one provision is struck down, the rest of the Terms will remain intact and applicable. The intention behind this provision is to safeguard the overall validity of the agreement and prevent any single unenforceable clause from invalidating the entire set of Terms. Moreover, if any provision is found to be unenforceable due to changes in laws or regulations, the parties involved will still be bound by the remaining provisions to the greatest extent permitted by law, and shall not affect their legal obligations under the Terms.
Furthermore, the parties to this agreement agree that any amendments or changes to these Terms, necessitated by an unenforceable provision, shall be made in writing and mutually agreed upon. This ensures that all parties involved are continually subject to a clear and valid framework for their relationship, despite the unenforceability of any specific provision. Any modification of the unenforceable provision shall aim to align with the original intent of the agreement to the fullest extent, thereby preserving the contract's effectiveness and integrity.
12.3. Force Majeure
SharedLift shall not be held liable for any failure or delay in its performance of obligations under this agreement due to circumstances or events that are beyond its reasonable control. These include, but are not limited to, force majeure events such as acts of God, natural disasters, pandemics, wars, civil unrest, government actions or regulations, changes in laws or policies, strikes, labor disputes, terrorism, supply chain disruptions, or any other unforeseen event that makes performance impracticable or impossible. This provision applies whether the event occurs in the location of SharedLift’s operations or elsewhere, and regardless of whether such event is predictable or not at the time of entering into the agreement. Furthermore, SharedLift will make reasonable efforts to mitigate the effects of such events and to resume normal operations as soon as possible, but shall not be held responsible for any delays or non-performance resulting from these extraordinary circumstances.
